Counsyl is pioneering the healthcare technology field, and we are looking for a detail-oriented Corporate Paralegal to join our small, dynamic legal team.  This individual will support Counsyl’s growth by providing contractual, compliance, litigation and administrative support. We are looking for a Corporate Paralegal who is capable of working both collaboratively and autonomously.

What you'll do:

  • Maintain legal, compliance, corporate governance, and other company records.
  • Assist in responding to litigation-related inquiries.      
  • Assist with oversight and implementation of corporate policies.
  • Contract administration and manage company database.
  • Manage (and assist) outside counsel in transactional and corporate governance efforts.
  • Preparation of Board and Committee meeting materials and minutes, including the drafting of unanimous written consents and maintaining and organizing the materials.
  • Maintain and administer the filing system of executed contracts, including archiving of those contracts and updating the status of contracts in the filing system as needed.

About you:

  • 5+ years of corporate paralegal experience either in a law firm or in-house environment.
  • A calm approach with the ability to work under pressure.
  • Ability to work independently and show initiative.
