Position Description

Counsyl is seeking a detail-oriented, highly organized, highly motivated individual to join our Finance Team as Stock Plan Administrator. In this role, you’ll be responsible for the administration, management and compliance of our equity compensation program. You’ll work with other members of the Legal, Finance and People teams to develop best practices and processes in administering stock plans.

What You'll Do

  • Maintain database integrity and ensure accurate record keeping of equity data, including the cap table, using Solium Shareworks
  • Process all equity activity in Solium Shareworks, including new equity awards, terminations, cancellations, repurchases, and modifications. Ensure accurate online grant agreements are attached to each record
  • Perform cap table reconciliations between internal records and external counsel records
  • Support month-end and annual accounting journal entries and procedures
  • Process option exercises. Ensure accurate and timely tax withholding and reporting to Payroll when applicable
  • Generate recurring reports for multiple internal and external corporate partners(e.g., People, Payroll, Finance, Accounting, etc.), and respond to ad-hoc data requests on a timely basis
  • Maintain pending grant lists and prepare exhibits for Board approvals. Manage procedures and calendars to ensure all information remains current and consistent. Ensure accurate vest dates, vest schedules, and other key terms
  • Develop documentation of equity-related processes
  • Provide excellent customer service to equity participants at all levels and to partners across departments
  • Help train employees on the employee-based equity programs, in partnership with People team

About You

  • Bachelor's Degree in Business, Finance, or Accounting 
  • CEP certification (including in progress) is a plus
  • Minimum 8+ years of experience in private and public company stock administration
  • Experience with U.S. federal and state equity taxation
  • Experience with equity component of quarter and year-end audit processes
  • Experience working with different types of Equity Plans in both private and public companies is preferred
  • Advanced skills in Microsoft Excel and Word 
  • Excellent communication skills, both written and verbal, and collaborative, customer-oriented approach
  • Strong attention to detail, data integrity, and accuracy
  • Strong organization and problem solving skills with the ability to track multiple tasks and issues
  • Ability to work in a fast-paced environment
  • Ability to identify and implement process improvements
